11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles. Any legal proceedings arising from these Terms shall be brought exclusively in the state or federal courts located in Denver County, Colorado.

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision.
